Suri Oculus Commercial License Agreement (EULA)

IMPORTANT:
By downloading, installing, or using the proprietary components of Suri Oculus, you agree to the terms of this Commercial License Agreement (“Agreement”).
If you do not agree to these terms, do not install or use the software.


1. Definitions

  • “Software” means the proprietary components of Suri Oculus, including but not limited to:

    • C++ Core Engine,

    • C++ AI Feature Extraction and Inference Library,

    • daemonmove (log parsing service).

  • “Licensor” means the author and copyright holder of the Software.

  • “Licensee” means the individual or legal entity using the Software.


2. Grant of License

Subject to the terms of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to use the Software:

  • for internal, on-premise purposes;

  • within the Licensee’s organization;

  • in enterprise and production environments.

No ownership rights are transferred under this Agreement.


3. Scope of Use

The license granted under this Agreement:

  • applies to the Licensee as a single organization;

  • permits installation on multiple systems within that organization;

  • does not permit access to or use of the Software by third parties.


4. Restrictions

The Licensee shall not:

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;

  • modify, adapt, or create derivative works of the Software;

  • distribute, sublicense, rent, lease, sell, or otherwise transfer the Software;

  • use the Software to provide services to third parties, including but not limited to SaaS, MSSP, or managed services, without a separate written agreement.


5. Updates and Maintenance

Updates, patches, or new versions of the Software may be provided at the Licensor’s discretion.
Nothing in this Agreement obligates the Licensor to provide updates, maintenance, or support.


6. Telemetry and Network Communication

The Software may perform limited network communication, including checks for updates or version information.
Any such communication is limited to technical metadata and does not include user data, network traffic content, or log payloads.


7. Ownership and Intellectual Property

The Software is licensed, not sold.
All right, title, and interest in and to the Software, including all intellectual property rights, remain exclusively with the Licensor.


8. Disclaimer of Warranties

The Software is provided “AS IS”, without warranty of any kind.
To the maximum extent permitted by applicable law, the Licensor disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.


9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or related to the use or inability to use the Software.


10. Termination

This Agreement terminates automatically if the Licensee breaches any of its terms.
Upon termination, the Licensee must immediately cease use of the Software and destroy all copies in its possession.


11. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior or contemporaneous understandings related to its use.
